Section I: Name

1. The name of this organization shall be the All University Student Association, hereinafter referred to as the AUSA.

Section II: Principle Office

1. The principle office of the AUSA shall be located at the Student Government Office of the Chairperson.

Section I: Purposes

This organization shall:

1. Provide a forum for the discussion of university-wide issues which affect the student environments, academics, issues and/or populations.
2. Exist as a mechanism by which issues of concern of the Student Body of Indiana University are expressed to the University Administration, the Board of Trustees, the University Faculty Council, the Governor, the General Assembly, and to other such governmental and private agencies as shall be deemed necessary to effect this purpose.
3. Serve as the liaison between the student governments on campuses of Indiana University.
4. Promote and encourage the interchange of information, programs, and services offered by other student governments and organizations to better serve the student body of Indiana University.
5. Coordinate the appointment and selection of students to university-wide committees, councils, and other boards which consider and develop university-wide policy.

Section II: Limitations

1. The AUSA, in fulfilling Section I, shall not interfere with the right of any student government association to pursue its interests independently of the AUSA, or to make its position known when it disagrees with the position adopted by the AUSA.

Section I: The Student Body

1. Students recognized by the Student Body Constitution of their campus shall be considered members of the AUSA Student Body provided that the respective legislative or representative bodies have ratified this Charter.

Section II: Membership Rights

Member campuses shall have the following rights:

1. The right to participate in any AUSA program or project.
2. The right to have its student members make use of any AUSA service.
3. The right to have its student members serve on any AUSA committee.

Section III: Meeting Notice

1. Notice of the date, time, place, and order of business of any session of the AUSA shall be in writing and shall be sent to each member campus, to be posted publicly no less than 14 days prior to said meeting.
2. All meetings of the AUSA shall be open to any students as defined in Article III, Section I of this Charter. All others shall be admitted at the discretion of the Chairperson.
3. AUSA shall meet as often as necessary; at least nine times per fiscal year, with at least seven calendar days expiring between meetings to conduct business.
4. Special meetings may be called at the discretion of the Board.

Section I: Composition

1. The Board of Directors, hereinafter referred to as the “board,” shall be the final policy-making body of the AUSA and shall consist of the President of the Student Body (or her/his delegate) of each Indiana University campus.

Section II: Quorum

1. Quorum shall be established when one half plus one (1/2 + 1) of all Board members are present.

Section III. Voting Rights

1. Each Board Member shall have one and only one vote.
2. In the absence of a Board Member, he/she may appoint a substitute from his/her respective Student Government to serve with full rights and privileges of a full Board Member for that meeting.
3. In order to acquire rights and privileges, the substitute must have written certification from the President of the respective campus. In the event that the President is unable to provide certification, the Student Activities Director may provide such certification.

Section IV: Powers

The Board shall:

1. Elect a Chairperson and a Vice Chairperson from and by its membership.
2. Allocate funds received or collected in the name of the AUSA.
3. Provide for the efficient operation of the AUSA by adoption of necessary rules, regulation, or policies.
4. Represent the students of Indiana University through actions taken.
5. Convene or disband committees as necessary and require reports from these committees as desired.
6. Enact all appropriate legislation to effect the purpose of this organization.
7. Establish any policy, service, or program necessary and proper to the execution of the purpose or duties of the AUSA.
8. Approve or Disapprove all amendments to this charter by the appropriate measures as outlined in Article V.
9. Shall be responsible for public posting of all meetings.

Section V: Powers and responsibilities of the Chairperson

1. Preside over the meetings of the Board of Directors.
2. Execute the will of the AUSA as stated by the Board.
3. Coordinate the work of the committees of the AUSA.
4. Represent the actions, attitudes, and position of the AUSA to all constituencies, internal or external.
5. Schedule meetings of the AUSA at the will and discretion of the Board.

Section VI: Power and Responsibilities of the Vice Chairperson

1. Preside over meetings in the absence of the chairperson.
2. Assist the Chairperson in fulfilling his/her duties.
3. Assume the duties of the Chairperson in his/her absence.
4. Shall keep all official records of the AUSA and the Board and may appoint a clerk with the approval of the Board.

Section I: Amendments

1. Amendments to this charter must be submitted in writing to the principal office of the AUSA no later than twenty (20) days in advance of the regularly scheduled meeting of the Board of Directors at which they are to be considered.

Section II: Adoption of Amendments

1. Amendments receiving two-thirds (2/3) approval of the Board of Directors shall be sent to the student legislature of each member campus of the AUSA.
2. Amendments shall become effective upon approval by two-thirds (2/3) of the student legislatures of the member campuses.
3. Amendments failing to receive two-thirds (2/3) vote of either the Board of Directors or the student legislatures of the member campuses, shall be considered null and void. Such amendments may be reintroduced by the procedures outlined in Article V, Section I.

The Board shall adopt a series of bylaws to govern the operations of the AUSA. Bylaws must be in keeping with Charter and may be amended by a majority vote of the membership of the Board of Directors.

The 1978 edition of the Roberts Rules of Order shall be the Parliamentary Authority of the AUSA and shall govern the operation of the AUSA except as may be provided for in the Charter, Bylaws, or other regulations of AUSA.
